“Terms of services”

Calmscient LLC – User license agreement & Terms of service

Welcome to Calmscient! This User License Agreement (“Agreement”) is a legally binding contract between you (“you” or “User”) and Calmscient, LLC, a New York limited liability company located at 4 Charles Colman Blvd., Ste. 6, Pawling, NY 12564 (“Calmscient,” “we,” “us,” or “our”).

This Agreement governs your access to and use of the Calmscient mobile applications, websites, courses, educational materials, training programs, and any related services we provide (collectively, the “Services”). By creating an account, accessing, or using the Services, you agree to this Agreement and our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old (or the legal age of majority in your jurisdiction) to create an account or use the Services. By using the Services, you represent and warrant that you meet these requirements and have the authority to agree to this Agreement.

2. Description of services

Calmscient provides mental health–focused courses, educational content, and training resources designed to promote mindfulness, emotional well-being, and personal growth. We are not a medical or healthcare provider, and the Services are not intended to diagnose, treat, cure, or prevent any medical condition. Always seek the advice of a qualified healthcare professional for questions regarding a medical condition or mental health concerns.

3. License grant
Subject to your compliance with this Agreement, Calmscient grants you a limited, non exclusive, non-transferable, non-sublicensable, revocable license to download, access, and use the Services solely for your personal, non-commercial use. All rights not expressly granted to you are reserved by Calmscient.
4. Account registration & security

You may need to create an account to use certain features of the Services. You agree to:

  • Provide accurate, current, and complete information.
  • Maintain and promptly update your account information.
  • Keep your password secure and not share it with others.
  • Notify us immediately at support@calmscient.com of any unauthorized use.

You are responsible for all activity that occurs under your account.

5. Subscription & payment terms
  • Auto-Renewal: If you purchase a subscription, it will automatically renew unless you cancel before the renewal date.
  • Free Trials: If offered, free trials convert to paid subscriptions unless canceled before the trial ends.
  • Cancellation: You may cancel at any time through your account settings or the applicable app store.
  • No Refunds: Except as required by law, payments are non-refundable.

Prices and features may change; we will notify you in advance where required by law.

6. Prohibited conduct

You agree not to:

  • Copy, modify, distribute, sell, or lease any part of the services.
  • Reverse engineer or attempt to extract source code.
  • Use the Services for any unlawful, harmful, or abusive purpose.
  • Upload or transmit any viruses or malicious code.
  • Interfere with or disrupt the services security or operation
7. User content

You may post, upload, or otherwise provide content through the Services (“User Content”). You retain ownership of your User Content but grant Calmscient a worldwide, non exclusive, royalty-free license to use, store, display, reproduce, and distribute your User Content solely for operating, improving, and promoting the Services.

You are solely responsible for your User Content and must ensure it complies with this Agreement and applicable law.

8. Intellectual property

The Services, including all content, text, graphics, images, audio, video, design, and software, are owned by or licensed to Calmscient and are protected by intellectual property laws. You may not use our trademarks, trade names, or logos without prior written consent.

9. Health disclaimer

The Services are intended for educational purposes only and are not a substitute for professional medical advice, diagnosis, or treatment.

  • Do not use the Services while driving, operating heavy machinery, or performing other tasks that require attention.
  • If you are experiencing a medical emergency, call 911 (or your local emergency number) immediately.
10. Termination
We may suspend or terminate your account and access to the Services at any time, with or without notice, if we believe you have violated this Agreement or for any other lawful reason. You may stop using the Services at any time.
11. Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Calmscient does not guarantee that the Services will be uninterrupted, error-free, or secure.
12. Limitation of liability

To the fullest extent permitted by law:

  • Calmscient shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
  • Our total liability for all claims arising from or related to the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
13. Indemnification
You agree to defend, indemnify, and hold harmless Calmscient, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the Services or violation of this Agreement.
14. Governing law & dispute resolution

This Agreement is governed by the laws of the State of New York, without regard to conflict of laws principles.

  • Binding Arbitration: Any dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association, on an individual basis only.
  • No Class Actions: You waive the right to participate in a class action or class-wide arbitration.
15. Changes to this agreement
We may update this Agreement from time to time. If we make material changes, we will notify you by email or within the Services. Continued use of the Services after changes take effect constitutes your acceptance.
